1. Introduction

These Terms and Conditions ("Terms") govern your use of the GSC Analytics forecasting service ("Service"), operated by CODE AND COMMERCE LIMITED ("we", "us", "our"), a company registered in England and Wales.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.

2. Service Description

PredictClicks provides automated forecasting tools for search console data from Google Search Console and (optionally) Bing Webmaster Tools, including but not limited to:

  • Predictive analysis of search traffic metrics (clicks, impressions, CTR, average position)
  • Time series forecasting using the Facebook Prophet algorithm
  • Historical data analysis and trend detection
  • Data export functionality including PowerPoint presentations, Excel workbooks, and chart images
  • Business event integration for forecast adjustment

The Service is provided via our website and requires authentication through your Google account to access your Google Search Console data. Optionally, you may also connect your Bing Webmaster Tools account to generate forecasts for Bing search data.

3. Forecast Accuracy Disclaimer

IMPORTANT - PLEASE READ CAREFULLY

All forecasts provided by this Service are statistical estimates only and are NOT guarantees, predictions, or promises of future performance.

You expressly acknowledge and agree that:

  • No Warranty of Accuracy: While we employ industry-standard forecasting algorithms (Facebook Prophet), forecast accuracy can vary significantly and is influenced by numerous unpredictable factors including algorithm updates, market changes, seasonal variations, and external events.
  • Not Professional Advice: Forecasts do not constitute financial, business, investment, or professional advice of any kind. You should not make business decisions based solely on the forecasts provided by this Service.
  • Past Performance: Historical data and past performance are not reliable indicators of future results. Search engine traffic can be volatile and unpredictable.
  • Your Responsibility: You are solely responsible for evaluating the suitability, accuracy, and applicability of any forecasts for your specific circumstances. You should consult with qualified professionals before making significant business decisions.
  • No Liability for Inaccuracy: We accept no liability for forecast inaccuracy, errors in predictions, or any business decisions made based on the forecasts provided. See Section 11 (Limitation of Liability) for full details.

USE OF FORECASTS IS ENTIRELY AT YOUR OWN RISK.

4. User Accounts and Authentication

4.1 Google Authentication (Required): You must authenticate using your Google account to access the Service. By doing so, you grant us read-only access to your Google Search Console data as described in our Privacy Policy.

4.2 Bing Authentication (Optional): You may optionally connect your Bing Webmaster Tools account to generate forecasts for Bing search data. By connecting Bing, you grant us read-only access to your Bing Webmaster data. You can disconnect Bing at any time through your Microsoft account permissions.

4.3 Account Security: You are responsible for maintaining the security of your Google and (if connected) Microsoft accounts. We are not liable for any unauthorized access to your account resulting from your failure to maintain account security.

4.4 Accurate Information: You agree that the email address associated with your Google account is accurate and that you will keep it up to date.

4.5 Account Suspension: We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in fraudulent or abusive behavior.

5. Credit System and Pricing

5.1 How Credits Work: The Service operates on a credit-based system:

  • 1 credit = 1 forecast for 1 metric (e.g., clicks OR impressions)
  • Generating forecasts for multiple metrics simultaneously (e.g., clicks AND impressions) consumes 1 credit per metric selected
  • Credits are consumed at the time a forecast is generated
  • Exports (PowerPoint, Excel, CSV, chart images) are included at no additional cost after a forecast is generated

5.2 Free Tier: Free tier users receive 1 forecast per calendar month at no cost. The free forecast allowance resets on the 1st of each month at 00:00 UTC. Unused free forecasts do not roll over.

5.3 Free Forecast Adjustments (Session-Based Regeneration): After generating a forecast using 1 credit, you may adjust forecast parameters for the same website at no additional charge, subject to the following limits:

  • Free adjustments are available for 24 hours from the initial forecast generation
  • A maximum of 10 adjustments are permitted per session
  • A minimum 2-minute cooldown applies between consecutive adjustments
  • Adjustable parameters include: forecast horizon, seasonality mode, and trend flexibility
  • Switching to a different website starts a new session and requires a new credit

After exhausting your 10 adjustments or after 24 hours (whichever occurs first), a new credit is required to generate another forecast for the same website.

5.4 Credit Packages: Credit packages are available for purchase as displayed on our Pricing page. Current pricing is subject to change, but changes will not affect credits already purchased.

5.5 Credit Expiry: Purchased credits never expire. This is a binding commitment that will remain in effect for all credits purchased under these Terms.

5.6 Export Rate Limits: To ensure fair usage and service availability, exports are subject to rate limits:

  • Free tier: up to 5 exports per hour
  • Paid tier: up to 20 exports per hour
  • Minimum 30-second cooldown between consecutive exports

5.7 Non-Transferable: Credits are non-transferable between accounts and cannot be exchanged for cash.

5.8 VAT: All prices are stated excluding VAT. UK customers will be charged VAT at the applicable rate at the time of purchase. VAT invoices are available upon request.

5A. Forecast Data Retention and Export

IMPORTANT - PLEASE READ CAREFULLY

Forecasts are NOT permanently stored. You expressly acknowledge and agree that:

  • Temporary Data Only: Forecast data exists only during your active session and is automatically deleted after 24 hours. We do not maintain a history of your forecasts.
  • Your Responsibility to Export: You are solely responsible for exporting and saving your forecast data before the session expires. We provide export functionality (Excel, PowerPoint, CSV, PNG) specifically for this purpose.
  • No Recovery After Expiry: Once a forecast session expires, the forecast data cannot be recovered. You will need to generate a new forecast (which consumes a credit) to obtain fresh data.
  • No Forecast History: We do not provide saved forecasts, forecast history, or any mechanism to retrieve previously generated forecasts after session expiry.
  • No Liability for Data Loss: You acknowledge and accept that failure to export your forecast data before session expiry results in permanent loss of that data, and we bear no liability for such loss.

6. Payment Terms

6.1 Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. We do not store your credit card details. By making a purchase, you agree to Stripe's terms of service.

6.2 One-Time Purchases: All credit packages are one-time purchases, not subscriptions. You will only be charged when you explicitly choose to purchase credits.

6.3 Immediate Availability: Credits will be added to your account immediately upon successful payment.

6.4 Payment Failures: If a payment fails, we reserve the right to suspend your access to paid features until payment is successfully completed.

7. Refund Policy

7.1 14-Day Cooling-Off Period: In accordance with UK Consumer Contracts Regulations 2013, you have the right to cancel your purchase within 14 days of the date of purchase and receive a full refund for unused credits only.

7.2 Waiver of Cancellation Right: By using (exporting with) any credits, you expressly acknowledge that you are requesting immediate performance of the contract and agree that you lose your right to cancel with respect to the credits used.

7.3 Partial Refunds: If you have used some credits but not all, you may receive a refund for the remaining unused credits within the 14-day period.

7.4 Refund Method: Refunds will be processed back to the original payment method within 14 days of approval.

7.5 Requesting a Refund: To request a refund, contact us at support@predictclicks.com with your purchase details.

7.6 Service Failures: If the Service fails to perform as described due to technical issues on our end, we may, at our discretion, offer a refund or credit reimbursement even outside the 14-day period.

8. Data Processing and Privacy

8.1 Data Controller: We are the data controller for personal data collected through the Service. Our processing activities comply with UK GDPR and the Data Protection Act 2018.

8.2 Search Console Data: We access your Google Search Console data (and, if connected, your Bing Webmaster Tools data) solely for the purpose of generating forecasts. This data is processed in real-time and is not permanently stored on our servers beyond temporary caching (maximum 24 hours) for performance optimization.

8.3 Your Rights: Under UK GDPR, you have the right to access, rectify, erase, restrict processing, object to processing, and request portability of your personal data. To exercise these rights, contact us at support@predictclicks.com.

9. Service Availability and Third-Party Dependencies

9.1 No Uptime Guarantee: While we strive to maintain high availability, we do not guarantee uninterrupted access to the Service. The Service is provided "as is" and may be subject to downtime for maintenance, updates, or technical issues.

9.2 Third-Party Dependencies: The Service relies on third-party services including:

  • Google Search Console API (for data retrieval)
  • Bing Webmaster Tools API (for optional Bing data retrieval)
  • Facebook Prophet forecasting engine
  • Stripe (for payment processing)
  • Hosting and infrastructure providers (Vercel, Railway, Upstash)

We are not liable for service interruptions caused by third-party service failures, API changes, or discontinuations.

9.3 Google API Compliance: Your use of the Service must comply with Google's Terms of Service and API usage policies. We may suspend your access if Google restricts or terminates our API access.

9.4 Service Modifications: We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. If a modification materially reduces functionality that you have paid for, we will offer a pro-rata refund of unused credits.

10. Intellectual Property

10.1 Your Data: You retain all ownership rights to your Google Search Console data. By using the Service, you grant us a limited, non-exclusive license to process this data solely for the purpose of generating forecasts.

10.2 Forecast Outputs: You own the forecast data generated by the Service. You may use, export, and distribute forecast outputs for any lawful purpose.

10.3 Our Intellectual Property: The Service's user interface, software, algorithms (excluding open-source components), branding, and documentation are our intellectual property or that of our licensors. You may not copy, modify, distribute, or reverse engineer any part of the Service.

10.4 Open Source: The Service uses the open-source Facebook Prophet algorithm, which is licensed under the MIT License.

11. Limitation of Liability

IMPORTANT LIABILITY LIMITATIONS

11.1 Exclusion of Consequential Damages: To the maximum extent permitted by law, we shall not be liable for:

  • Loss of profits, revenue, business, or anticipated savings
  • Loss of business opportunity, goodwill, or reputation
  • Any indirect, consequential, special, or punitive damages
  • Any business decisions made in reliance on forecasts, including but not limited to investment decisions, hiring decisions, or strategic planning decisions
  • Inaccurate forecasts or errors in predictive data
  • Losses arising from third-party service failures (Google API, Stripe, hosting providers, etc.)

11.2 Cap on Liability: Our total aggregate liability to you for any claims arising from or related to these Terms or the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount you have paid to us in the 12 months preceding the claim.

11.3 Exceptions: Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under applicable UK law

11.4 Basis of Bargain: You acknowledge that these limitations of liability reflect a reasonable allocation of risk and form an essential basis of the bargain between us. The Service pricing reflects these risk allocations.

12. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use automated tools (bots, scrapers) to access the Service beyond normal API usage
  • Resell, sublicense, or redistribute the Service or forecast data to third parties as a commercial offering
  • Attempt to circumvent credit usage tracking or payment systems
  • Interfere with or disrupt the Service's infrastructure or servers
  • Access or use another user's account without permission
  • Violate Google's Terms of Service in your use of Google Search Console data
  • Use the Service in any way that could damage our reputation or bring us into disrepute

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

13. Termination

13.1 Termination by You: You may stop using the Service at any time. You can revoke our access to your Google Search Console data through your Google account settings. Unused credits will remain in your account (credits never expire) unless you request a refund under Section 7.

13.2 Termination by Us: We may suspend or terminate your access to the Service immediately if:

  • You breach these Terms
  • We are required to do so by law or court order
  • We reasonably believe your account is being used fraudulently or for illegal purposes
  • We discontinue the Service entirely (with reasonable notice)

13.3 Effect of Termination: Upon termination:

  • Your access to the Service will cease immediately
  • Unused credits may be refunded at our discretion (subject to Section 7)
  • We will delete cached data associated with your account within 30 days
  • Sections of these Terms that by their nature should survive (e.g., liability limitations, intellectual property) will continue to apply

14. Indemnification

You agree to indemnify, defend, and hold harmless CODE AND COMMERCE LIMITED, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including Google's Terms of Service
  • Business decisions made based on forecasts provided by the Service
  • Any fraudulent or illegal activity conducted through your account

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, quarantine restrictions, strikes, telecommunications failures, or Internet service provider failures.

16. Dispute Resolution

16.1 Informal Resolution: If you have any dispute with us, you agree to first contact us at support@predictclicks.com and attempt to resolve the dispute informally.

16.2 Governing Law: These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales.

16.3 Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction to settle any disputes arising from these Terms or the Service.

16.4 Consumer Rights: If you are a consumer, nothing in this section affects your statutory rights, including your right to take action in your local courts.

17. General Provisions

17.1 Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.

17.2 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

17.3 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.4 Waiver: No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17.5 Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.6 No Agency: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and us.

17.7 Survival: All provisions of these Terms which by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
